Provider's identity

These GTC apply to all sales of IT services, cloud solutions, hosting, domain registrations, cybersecurity, and Helvira AI services (SaaS, APIs, integrations). 1swiss1.com
Scope and acceptance
B2B relationships only. Any order (signed quotation, accepted purchase order, activation via Customer Portal) or use of a service implies unreserved acceptance of the GTC. Special Terms and Conditions (quotation/SOW, SLA, DPA/ATD) may supplement/derogate from these; they shall prevail in the event of conflict.
Definitions (extract)
- Managed services: facilities management, supervision, security, maintenance.
- Helvira services: AI functionalities (assistant, generation/summary, classification, automations, API/SDK), as described on Helvira sales and quotation pages.
- Model / Model provider: LLM/embedding hosted by 1SWISS1 or third parties (e.g. cloud/IA providers).
- Prompt / Output: Customer input / AI-generated content.
- Customer portal: management area (tickets, billing, domains, products). portal.1swiss1.com
Service offerings and scope
The exact scope is shown in the quotation/SOW: Cybersecurity, IT Consulting, Managed Services, IT Management, IT Support, Development, Outsourcing and Solutions (Cloud, Microsoft 365/Entra, VoIP, Backup & Recovery, Remote Working, Email Security). Quotation, validity and order
Quotations valid for 30 days (unless otherwise stated). The order is created by signature (electronically accepted), acceptance on the Portal, or start of services requested by the Customer. Changes (CR) give rise to an amendment (adjusted prices/deadlines).
Portail client, support & communication
The customer can use the portal to submit/view tickets, manage services & domains, view KB/announcements/network status and make payments. Critical incidents follow agreed SLA priorities. portal.1swiss1.com
Prices, currencies, taxes and revisions
Prices in CHF (default), excluding VAT/taxes. Quotations available in EUR/USD. 1SWISS1 may pass on increases from third-party suppliers (cloud/IA licenses, domains, security, hosting) with reasonable notice.
Billing, payment & collection
- Subscriptions/managed & IA: monthly/annual billing in advance.
- T&M: monthly billing based on time spent (min. 15 min) + fees.
- Packages: milestones (e.g. 40/40/20).
Due date: 21 calendar days (D+21).
Late payment: interest on arrears (5% p.a.) + reasonable reminder charges.
Reminders & suspension (since invoice date) :
- D+45: 1ʳᵉ reminder (email + Portal)
- D+60: 2ᵉ reminder / formal notice
- D+67: suspension/cut-off of services (≥ 1 month late vs. D+21) Reactivation: full payment + any fees/warranty. 1SWISS1 may restrict access to the Portal during suspension (excluding billing/payment).
Travel, expenses & materials
Travel/accommodation/tools charged at cost (or cost + management). Third-party hardware/software: payable in advance.
Third-party services/subscriptions (cloud, M365/Entra, domains, EDR, SSL...)
The customer accepts the conditions of the suppliers (EULA, AUP, policies). Effects, renewals, cancellations and price increases are aligned with these suppliers; amounts incurred are non-refundable. 1SWISS1 acts as reseller/agent; liability limited to applicable warranties. portal.1swiss1.com
Domain names, hosting & e-mail
Registration/transfer, DNS/WHOIS, mail-hosting, web/VPS/dedicated, backup, SSL via the Portal. The customer remains the owner of the domain and is responsible for content and compliance (registries/registrars). Failure to renew/solvency may result in expiration and restoration costs. Except SLA, best-effort hosting. The proposed backups do not exempt the customer from his own backup/RPO/RTO strategy. portal.1swiss1.com
Security, backups & DRP
Obligation of means: state-of-the-art measures within the scope of the quotation/SLA. The customer remains responsible for backups, access management and user awareness.
Helvira specifics (AI services)
- AI outputs & reliability. Outputs may contain errors, biases or hallucinations. The Customer retains appropriate human review and remains solely responsible for the use of Outputs (including business decisions, industry compliance).
- High-risk uses. Prohibited without written agreement: medical devices, safety-critical, automated financial/legal recommendations, individual scoring with significant legal effect, or any case requiring specific regulatory validation.

Data & Training. Unless otherwise stated:
- 1SWISS1 does not use customer data to train general models;
- logs/technical metadata can be processed for support/security/billing;
- any dedicated fine-tuning is subject to a rider/DPA.
- Location & residence. Hosting/deployment (Switzerland/EU/third party) depends on the service and is included in the quote/portal. Helvira's positioning emphasizes sovereignty; it does not in itself constitute a regulatory guarantee, which the customer must validate for his use case. helvira.ai
- Model/third-party providers. Helvira can rely on third-party (or open-source) LLM/embeddings; 1SWISS1 can modify these components to ensure quality, security and compliance, without altering the purpose of the service.
- Fair Use limits. Quotas, bitrates, calls/minute, prompt/token sizes, content type and automation restrictions can be applied to protect the platform.
- API & integrations. Keys/APIs are personal; customer prevents misuse/unauthorized sharing; 1SWISS1 can rotate keys in the event of an incident. Integrations (M365, ITSM, SIEM, etc.) require appropriate Customer authorizations.
- Rights to Outputs. Subject to payment and compliance with the GTC, 1SWISS1 grants the Customer a non-exclusive license to use the Outputs; pre-existing elements (models, system prompts, tools, know-how) remain the property of their owners. The Customer warrants that he has the rights to his Prompts/Data.
- Compliance & ethics. The Customer undertakes to use the Service in a compliant manner (nLPD/RGPD if applicable, intellectual property, illegal content, non-discrimination). 1SWISS1 may suspend a service in the event of manifest abuse, injunction by authority or serious risk.
Development & integration (fixed-price / project-based)
Specifications, deliverables and acceptance criteria in the SOW. Changes: costing/advice. 30-day corrective warranty on attributable anomalies (excluding non-compliant developments/data/environment).
Intellectual property
Pre-existing 1SWISS1 elements (frameworks, scripts, templates, system prompts, connectors) remain the property of 1SWISS1. Subject to full payment, the customer receives a license to use the deliverables. A transfer may be contractually agreed. The customer guarantees the rights and legality of his data/content.
Customer obligations
Provide access/information, validate within reasonable deadlines, ensure compatibility of its environment, respect third-party licenses/policies, protect identifiers (Portal, API, cloud tenants), pay invoices on time. Delays/missing deadlines can have an impact on deadlines and costs.
Privacy & data protection
Reciprocal commitment to confidentiality. The processing of personal data is governed by the Privacy Policy and, where applicable, a DPA/ATD (roles Responsible/Subcontractor according to nLPD and, if applicable, RGPD). Location/retention detailed in quotation/SLA.
Subcontracting
1SWISS1 may entrust execution to specialized subcontractors (datacenters, registrars, editors, AI providers) and remains liable to the Customer.
Garanties & exclusions
Unless expressly stated, services provided "as is" with obligation of means. Excluded: uses contrary to recommendations, unsupported environments, force majeure, supplier failures, cyber-attacks of exceptional magnitude, non-validated third-party integrations, third-party modifications, handling errors or failure to save customer data.
Limitation of liability
Total liability of 1SWISS1 limited to the higher of: (i) fees paid for the service in question over the last 12 months, or (ii) CHF 50,000. Excluded: loss of profit, data, business interruption, indirect/consequential damages, to the extent permitted by Swiss law. No exclusion in the event of intent or gross negligence.
Force majeure
These include: major Internet failures, large-scale power cuts, disasters, wars/riots, general strikes, pandemics, acts of authority, major unavailability of cloud providers/registries/LLM providers, attacks on an unprecedented scale.
Term, renewal & termination
- Subscriptions (managed, cloud, IA, licenses): duration/renewal according to quote/portal; failing this, 30 days' notice before expiry.
- Projects: end of receipt and full payment.
- Termination for breach of contract: possible after 15 days' formal notice. At the end of the contract, assistance with reversibility (export) to T&M; deletion of residual data within the usual timeframe (e.g. 30 days), unless required by law.
Non-sollicitation
Prohibition to recruit/employ directly any 1SWISS1 employee who has worked for the Customer, during the contract and 12 months thereafter. Compensation: 6 months' gross remuneration for the profile concerned.
References
Unless opposed in writing, 1SWISS1 may quote the customer's name, logo and the nature of its services.
Notifications & proof
Notifications must be made in writing (including electronically). Portal logs are authoritative (orders, tickets, payments). portal.1swiss1.com
Cession
Assignment/interdependence subject to written agreement of 1SWISS1. 1SWISS1 may assign to any of its affiliates or successors.
Applicable law & jurisdiction
Swiss law. Exclusive place of jurisdiction: Geneva (Switzerland).
Coming into force & updates
Version v2.0 - June 1, 2025. 1SWISS1 may update the GTC; the current version is published online. Changes apply to renewals or new orders.
